1. Introduction & Acceptance
Welcome to SmartReply, a business-to-business (B2B) software service operated by BAV Tech Solutions ("we", "us", or "our"). By registering for, accessing, or using SmartReply, you ("the Client") agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not use our service.
2. Service Description & Client Responsibilities
SmartReply provides automated missed-call notifications and SMS responses for businesses. Service availability is not guaranteed and may be affected by network providers, infrastructure, or maintenance.
You agree to:
- Use the service lawfully.
- Obtain permission before messaging customers where legally required.
- Comply with SMS marketing and telecom regulations (e.g., UK PECR).
- Configure Twilio and automation responsibly.
- Accept that you are solely responsible for the content of communications sent using SmartReply.
3. Acceptable Use Policy (AUP)
You must not use SmartReply to:
- Send spam or unsolicited messaging.
- Conduct fraud, phishing, or unlawful activity.
- Harass or abuse recipients.
- Upload contact data without permission.
We reserve the right to immediately suspend or terminate your account, without prior notice or refund, for misuse or AUP violations.
4. Billing & Subscriptions
Subscriptions are managed via Stripe.
- Recurring billing applies.
- Cancellation takes effect at the end of the current billing period.
- No partial or pro-rata refunds are given unless legally required.
5. Data Protection Roles (Controller vs. Processor)
Under the UK General Data Protection Regulation (UK GDPR), you (The Client) act as the Data Controller for the personal data of your end-customers. BAV Tech Solutions acts solely as the Data Processor, processing this data strictly on your behalf.
6. Service Limitations & Liability
SmartReply depends on telecom providers, internet connectivity, and third-party platforms (Twilio, Supabase, Stripe). We are not liable for delivery failures caused by these providers.
SmartReply is provided "as is." We are not liable for:
- Missed SMS delivery or carrier blocking.
- Business interruption or lost revenue.
- Configuration errors by users.
To the maximum extent permitted by the laws of England and Wales, liability is limited to the amount paid for the service in the twelve (12) months preceding the claim.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
