1. Introduction & Acceptance

Welcome to SmartReply, a business-to-business (B2B) software service operated by BAV Tech Solutions ("we", "us", or "our"). By registering for, accessing, or using SmartReply, you ("the Client") agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not use our service.

2. Service Description & Client Responsibilities

SmartReply provides automated missed-call notifications and SMS responses for businesses. Service availability is not guaranteed and may be affected by network providers, infrastructure, or maintenance.

You agree to:

Use the service lawfully.
Obtain permission before messaging customers where legally required.
Comply with SMS marketing and telecom regulations (e.g., UK PECR).
Configure Twilio and automation responsibly.
Accept that you are solely responsible for the content of communications sent using SmartReply.

3. Acceptable Use Policy (AUP)

You must not use SmartReply to:

Send spam or unsolicited messaging.
Conduct fraud, phishing, or unlawful activity.
Harass or abuse recipients.
Upload contact data without permission.

We reserve the right to immediately suspend or terminate your account, without prior notice or refund, for misuse or AUP violations.

4. Billing & Subscriptions

Subscriptions are managed via Stripe.

Recurring billing applies.
Cancellation takes effect at the end of the current billing period.
No partial or pro-rata refunds are given unless legally required.

5. Data Protection Roles (Controller vs. Processor)

Under the UK General Data Protection Regulation (UK GDPR), you (The Client) act as the Data Controller for the personal data of your end-customers. BAV Tech Solutions acts solely as the Data Processor, processing this data strictly on your behalf.

6. Service Limitations & Liability

SmartReply depends on telecom providers, internet connectivity, and third-party platforms (Twilio, Supabase, Stripe). We are not liable for delivery failures caused by these providers.

SmartReply is provided "as is." We are not liable for:

Missed SMS delivery or carrier blocking.
Business interruption or lost revenue.
Configuration errors by users.

To the maximum extent permitted by the laws of England and Wales, liability is limited to the amount paid for the service in the twelve (12) months preceding the claim.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

1. Overview

SmartReply is a missed-call notification and automated SMS response platform. We are committed to protecting personal data and applying data minimisation, retention limits, and security-by-design principles in accordance with UK GDPR.

2. The Data We Collect

Caller (Lead) Data: When a missed call occurs on a SmartReply-enabled number, we collect the caller phone number, timestamp, and lead status. We do NOT record call audio.
Client Account Data: Email address, account login credentials, business configuration details, Twilio configuration, and billing identifiers via Stripe.
Uploaded Contact Data: If businesses upload suppression contacts (phone numbers and optional names), this is used solely to prevent automated SMS replies to known contacts.
Automated Data & Logs: IP addresses and webhook timestamps.

3. How Data Is Used (Lawful Basis)

We process personal data only to:

Notify businesses of missed calls and send automated SMS responses (Legitimate interest / Contract).
Display leads in the dashboard and provide account access (Contract).
Manage billing and subscriptions (Contract).
Maintain system security and reliability (Legal obligation / Legitimate interest).

We do not sell personal data.

4. Data Retention

We apply strict lifecycle controls:

Lead Data: Automatically deleted after 12 months.
Server Logs: Operational logs are retained for 90 days, then rotated and removed. Logs are used only for system security, debugging, and abuse prevention. They do not contain message content.
Client Account Data: Deleted within 30 days of account termination/request.

5. Subprocessors

We use trusted providers who only handle data necessary to operate SmartReply:

Supabase: Database & authentication.
Twilio: SMS delivery.
Stripe: Billing.
FormSubmit.co: Landing page form processing.

6. Security Measures

We implement HTTPS encryption, access control and authentication, server-side database permissions, automated data retention enforcement, and log rotation/storage limits.

7. Cookie Policy (No Banner Required)

We only use "Strictly Necessary" cookies for authentication (Supabase), payment security (Stripe), and form submission (FormSubmit). We explicitly DO NOT use tracking cookies or Analytics inside our application, therefore active user consent (a cookie banner) is not required under UK PECR.

8. Your Rights
